Case Study:
You are required to help the two investors who reached your legal consultancy firm. Investor A has a Sole Proprietorship and Investor B wants to do a partnership with him. They need your help to explain the legal requirement to convert the business from Sole Proprietorship to a Limited Liability Company. They also need to know the legal personality of the new business structure, the advantages & disadvantages of the new business structure. And also required to get information on legal requirement if the company will face financial trouble, and if the partners decided to file for bankruptcy and ending the company. Your legal consultancy firm has agreed to provide consultancy services to them.

Tasks to do:
In this coursework, you are required to:

1. Introduction. Write clear introductory statements, which would outline the Business Laws in the Sultanate of Oman that is related to the case set for analysis. State the objectives of your coursework. (300 Words)

2. Discussion. Prior to the converting of a company from an informal business structure to another formal business structure, Discuss the new company’s legal personality the investors need to comply with the requirements in accordance with the law. You are required to critically analyse and discuss the converting process of the business which includes the documents required, all the costs involved, prescribe time needed for approvals at the different phase, advantages, and disadvantages of the chosen business structure. Write substantial arguments about the specific law that influences the actions of the partners (A & B) in the given case. Justify your arguments by supporting them with pieces of literature. Ensure that correct in–text citations are reflected in the full text of your paper.

List the sources of your supporting materials in the last section of your paper which is the References list. (1400 Words)

3. Conclusion. Outline the significant points of information that you have discussed in your paper.
